Shareholders of the Oak Associates Funds are being asked to consider and vote on the proposal to approve a new investment advisory agreement. Pursuant to the new agreement, Oak will continue to provide investment advisory services to the Funds without impact to management fees or services provided. As part of ongoing long-term succession planning, firm founder James Oelschlager and his wife Vanita Oelschlager are transitioning their collective ownership in Oak to senior employees of Oak Associates - [INLINK '349']Co-Chief Investment Officer Robert Stimpson, Chief Compliance Officer Margaret Ballinger, and Chief Financial Officer Carol Zollars[/INLINK]. Jim Oelschlager and Robert Stimpson will continue to be jointly and primarily responsible for the day-to-day management of the Funds as Co-Chief Investment Officers.
Shareholders are being asked to vote because the transaction is considered a change of control of the Adviser, with Oak's Management Team owning substantially all of the voting interests. The transaction is not expected to result in any change to the portfolio managers of the Funds, and Oak will continue to employ substantially all of the firm's existing staff.
